Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Kairoo website at https://kairoo.pro, the application at https://app.kairoo.pro, and any related services (collectively, the "Service") operated by Individual Entrepreneur Mikhail Makarov, Tbilisi, Georgia("Kairoo", "we", "us", or "our").
By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Kairoo is a software-as-a-service platform that helps independent professionals (such as tutors, coaches, trainers, and consultants) manage scheduling, clients, session packages, notifications, and basic financial tracking. The Service is delivered over the public internet and accessed through a web browser.
2. Eligibility and Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract to use the Service. You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential. You are responsible for all activity that occurs under your account.
Authentication is provided by a third-party identity provider (Clerk). By creating an account you also accept the applicable terms of that provider.
3. Plans, Trials, and Free Tier
- Free plan: available indefinitely with a limit of 4 active clients.
- Free trial: new accounts receive a 31-day full-feature trial. No payment method is required to start the trial.
- Paid (Pro) plan: $19 per month or $119 per year, billed in advance. Pricing is in U.S. dollars. Applicable VAT or sales tax is calculated and added at checkout based on your billing location.
We may update prices and plan limits from time to time. Price changes affecting an existing subscription will take effect at the start of the next billing period and we will notify you in advance.
4. Billing — Paddle as Merchant of Record
All paid subscriptions are processed by Paddle.com Market Limited ("Paddle"), our authorised reseller and Merchant of Record. When you purchase a subscription, your contract for payment is with Paddle, and Paddle is responsible for collecting payment, calculating and remitting applicable taxes, and issuing receipts and invoices. Paddle's terms (Buyer Terms) apply to the payment transaction in addition to these Terms.
Paid subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled. You can cancel renewal at any time from your account settings or by contacting kairoo.project@gmail.com. After cancellation you retain access to the paid features until the end of the period you have already paid for.
5. Refunds
Refunds are governed by our separate Refund Policy, which forms part of these Terms.
6. Acceptable Use
You agree not to, and not to allow any third party to:
- use the Service for any unlawful, harmful, or fraudulent purpose;
- upload or transmit content that is illegal, infringing, defamatory, sexually explicit, or that violates the privacy or rights of others;
- use the Service to send spam, unsolicited messages, or to harvest contact information without proper consent;
- attempt to gain unauthorised access to the Service, other accounts, or the underlying infrastructure, or interfere with the Service's integrity or performance;
- reverse engineer, decompile, or scrape the Service except to the extent expressly permitted by applicable law;
- resell, sublicense, or expose the Service as a hosted service to third parties without our prior written consent.
7. Your Content and Client Data
You retain all rights to the content you upload to the Service, including information about your clients, sessions, services, and notes ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely as necessary to operate and provide the Service to you.
When you add information about your clients to the Service, you act as the data controller for that personal data and you are responsible for having a lawful basis to provide it to us. We process that data on your behalf as a processor in accordance with our Privacy Policy.
8. Third-Party Services
The Service relies on third-party providers including Clerk (authentication), Paddle (payments), Novu (notifications), and our cloud and email-delivery providers. The availability of the Service may depend on these providers, and their respective terms and privacy notices apply to your use of features that involve them.
9. Intellectual Property
The Service, including its software, design, logos, and all related intellectual property, is owned by Kairoo and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Nothing in these Terms transfers any ownership rights to you.
10. Suspension and Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if your account presents a security or legal risk, if a payment fails and is not cured within a reasonable time, or if we are required to do so by law. Where reasonable and lawful, we will give you prior notice and an opportunity to cure.
On termination, your right to use the Service ends immediately. We will retain or delete Your Content in accordance with our Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or that any data will be permanently retained without loss. You are responsible for keeping your own copies of important data.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Kairoo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, arising out of or related to your use of the Service. Our aggregate liability for any claim arising out of or related to the Service is limited to the amounts you paid to us (via Paddle) for the Service in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including, where applicable, statutory consumer rights).
13. Indemnity
You agree to indemnify and hold harmless Kairoo from and against any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any third party's rights, including the rights of your clients.
14. Changes to the Service or these Terms
We may modify the Service and these Terms from time to time. If we make a material change to these Terms, we will notify you by email or through the Service before the change takes effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of Georgia (the country), without regard to its conflict-of-law rules. The competent courts of Tbilisi, Georgia, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, except where mandatory consumer-protection law in your country of residence provides otherwise.
